OK. what i can tell you is that you already know where it comes from.
The problem comes from mgetty dying as soon as it starts. init detects   
thsi
and choose not to respawn mgetty for 5 minutes.
you have to dig deeper around this invocation of mgetty.

have you tried runnning mgetty manually first ?
if you can not make it work manually it is not usefull to put it in   
inittab.

some more thought:
 -1 are you sure mgetty is installed in /sbin ?
 -2 use -x option to put mgetty in debug mode. you will have to read this   
log to find out why it is dying

 -3 is you ttyS0 device well configured and defined in you kernel ? i   
would put it in the kernel (not as a module) if i were running a dial-in   
conection.
