What do U have in dmesg ??. Does it give any clue. 

And see the eth1 statics from ifconfig eth1, as to any packes were
transmitted/received by the driver.

Ok for this to happen, you need to compile ethernet driver into the
kernel. Reconfiure the kernel, with 3com and ether express driver
icvluded, then boot the compiled kernel.

The at Lilo promot

LILO: linux  ether=5,0x300,eth0 ether=10,0x280,eth1
 
Should work.  Then U can put this to /etc/lilo.conf file.
